Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and gridi ("gridi", "we", "us"). By creating an account or using the Service you confirm that you have read, understood, and agreed to these Terms.
If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Description of the Service
gridi is an AI workspace that, for products you own or are otherwise authorized to operate, (a) explores the live product to build a structured product map, (b) exports the live UI into an editable Figma file ("Figma Export"), and (c) translates Figma design changes into code suggestions and GitHub pull requests against a connected repository ("Design Sync").
Because AI exploration and code suggestion are probabilistic, the scope, accuracy, and completeness of any output depend on the structure of your product and the configuration of the third-party services you connect.
3. Account Registration
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
You must promptly notify us at admin@gridi.ai of any suspected unauthorized access to your account.
4. Acceptable Use
You agree not to:
·request analysis of any product, codebase, design file, or service that you do not own or are not otherwise authorized to use;
·circumvent, disable, or attempt to defeat ownership verification, authentication, or access controls — whether ours or those of the analyzed product;
·request analysis of services that prohibit crawling, or of any area containing personal data or trade secrets outside the scope of your authorization;
·connect GitHub repositories or Figma files you are not entitled to modify;
·generate excessive load that materially degrades the Service or any third-party service;
·reverse engineer, resell, or otherwise misuse the Service;
·use the Service in violation of applicable laws.
You represent and warrant that you hold the necessary rights to every product, repository, and design file you submit, and you will cooperate in good faith with our ownership-verification procedures.
5. Customer Content
"Customer Content" means the product URLs, screens, design files, repositories, prompts, and other data you submit, together with the resulting product maps, Figma exports, code suggestions, and pull requests.
You retain all rights to Customer Content. You grant gridi a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and create derivative outputs from Customer Content solely to provide and improve the Service for you. We do not use Customer Content to train third-party foundation models.
You are solely responsible for the legality of Customer Content and for ensuring that your submission of it does not violate any third-party rights, including intellectual property, privacy, and contractual rights.
6. Intellectual Property
gridi and its licensors retain all right, title, and interest in and to the Service, including the underlying software, models, prompts, design system, and documentation. No rights are granted to you other than the limited use rights expressly set out in these Terms.
Feedback you provide about the Service may be used by gridi without obligation to you.
7. Subscriptions, Fees, and Refunds
The Service is offered in a Free tier and paid tiers (Starter, Pro, Enterprise). Current prices, usage allowances (projects, product explorations, Figma Exports, Design Syncs), and included features are posted on the Service.
Paid subscriptions are billed monthly or annually in advance, in the currency shown at checkout. Fees are non-refundable except as required by applicable law or as expressly stated below.
Refunds: if you have not used any paid feature after subscribing, you may request a full refund. If you have already consumed paid usage, refunds may be prorated based on the credits or actions you have consumed.
We may change pricing or usage allowances on prospective notice; any change unfavorable to you will take effect no earlier than 30 days after we post the change in the Service.
When usage allowances are exhausted within a billing period the corresponding feature pauses until the next reset.
8. Third-Party Services
Certain features (Design Sync, Figma Export) only work when you connect third-party services such as GitHub or Figma via standard OAuth flows. The Service operates strictly within the scopes you grant, and you may revoke connections at any time.
Access tokens issued by those third parties are stored only to the extent necessary to deliver the requested functionality and are protected with administrative and technical safeguards described in our Privacy Policy.
We are not responsible for outages, policy changes, API deprecations, or other actions taken by third-party services that are outside our reasonable control.
You may only connect repositories or files you are authorized to access; any unauthorized connection or change is your responsibility.
9. AI Output Disclaimer
The Service uses AI to explore products and to generate product maps, Figma files, code suggestions, and pull request descriptions. These outputs may contain errors, omissions, or insecure code, and may not reflect your team's conventions.
You are responsible for reviewing, testing, and approving any AI-generated change before merging, deploying, or otherwise relying on it. gridi is not liable for outages, security incidents, data loss, or business losses arising from your decision to merge or deploy without adequate review.
10. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
gridi does not warrant the accuracy, completeness, or reliability of any output produced by the Service.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO GRIDI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited by applicable law (including consumer-protection rights).
12. Indemnification
You will defend, indemnify, and hold gridi and its affiliates harmless from and against any third-party claim, loss, damage, or expense (including reasonable legal fees) arising out of (a) your breach of Section 4 (Acceptable Use), (b) your submission of Customer Content you were not authorized to provide, or (c) your decision to merge or deploy AI-generated output without adequate review.
13. Term and Termination
These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if your continued use poses a security or legal risk to gridi or any third party.
Upon termination we will, except where retention is required by law, delete your account data and disconnect third-party integrations (including stored access tokens) within a reasonable period.
If we discontinue the Service in full we will provide at least 30 days' prior notice and give you a reasonable opportunity to export your data.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in the place of gridi's principal office (Busan, Republic of Korea).
If you are a consumer resident in a jurisdiction whose laws require a different forum or venue, those mandatory rules will continue to apply.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on the Service and, where the change is material or adverse to you, give at least 30 days' notice before it takes effect. Other changes take effect 7 days after posting. Continued use of the Service after the effective date constitutes acceptance.
